1. Acceptance of Terms

By accessing this website, using any related services, creating an account, or enrolling in any course, cohort, workshop, subscription, mentorship session, certificate program, or other offering made available by Engenious University (operated by Engenious, Inc.), you agree to be bound by these Terms and Conditions of Use (the "Terms"). If you do not agree with any of these Terms, you are prohibited from using or accessing the Site or enrolling in any Engenious University offering. These Terms constitute a legally binding agreement between you and Engenious, Inc. 

2. Website Contents and Personal Use 

This website and the Contents are intended solely for personal, non-commercial use.  You may download or copy the Contents and other downloadable materials displayed on this website for your personal use only.

No right, title, or interest in any downloaded Content is transferred to you as a result of any such downloading or copying.  You may not reproduce (except as noted above), publish, transmit, distribute, display, modify, create derivative works from, sell or exploit in any way any of the Contents of this website. 

3. Intellectual Property and Course Content 

3.1 Ownership 

All course materials, videos, slides, written content, assessments, frameworks, methodologies, templates, exercises, cohort materials, mentorship materials, certificates, community materials, and any other educational content available through Engenious University (collectively, "Course Content") are the exclusive intellectual property of Engenious, Inc. or its licensors and are protected by United States copyright law, trade secret law, trademark law, and applicable international intellectual property treaties. The Copyright 2026 Engenious, Inc. notice applies to all Course Content unless otherwise indicated. 

3.2 Personal License Grant 

Upon enrollment and payment of applicable fees, Engenious, Inc. grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use Course Content solely for your own individual learning and professional development. This license does not permit any other use, and it terminates automatically if you violate these Terms or if your access is suspended or terminated. 

3.3 Prohibited Uses of Course Content 

The following uses of Course Content are expressly prohibited without prior written authorization from Engenious, Inc.:

3.4 Confidentiality of Cohort and Live Program Materials 

For live cohort programs, including but not limited to AI Career Accelerator and AI Career Booster programs, participants acknowledge that cohort sessions, guest instructor presentations, mentorship calls, peer discussions, unreleased materials, private Discord discussions, live exercises, and unpublished program resources constitute confidential and proprietary information of Engenious, Inc. Participants agree to:

3.6 Liquidated Damages 

You acknowledge that unauthorized use of Course Content, including but not limited to using Course Content for internal corporate training, competitive training, third-party workshops, or unauthorized distribution, would cause irreparable harm to Engenious, Inc. that may be difficult to quantify. Accordingly, to the fullest extent permitted by applicable law, you agree that in addition to any other remedies available at law or in equity, Engenious, Inc. shall be entitled to liquidated damages of $10,000 (ten thousand U.S. dollars) per unauthorized training session delivered using Course Content, and $5,000 (five thousand U.S. dollars) for each instance of unauthorized distribution of Course Content. These amounts represent a reasonable estimate of harm and are not intended as a penalty. 

3.7 Copyright Registration Notice 

Engenious, Inc. has registered or intends to register its original Course Content with the U.S. Copyright Office where appropriate. Willful infringement of registered copyrights may subject the infringer to statutory damages of up to $150,000 per work under 17 U.S.C. Section 504(c)(2), in addition to attorneys' fees and costs, where available under applicable law. 

4. Access to Password-Protected Areas

Access to and use of password-protected, paid, private, or secure areas of the Site is restricted to authorized users only. Each enrollment is for a single named individual. You may not share your login credentials, account access, paid content, cohort access, private community access, or subscription benefits with any third party. Unauthorized access, credential sharing, account transfer, scraping, password sharing, or attempts to circumvent access controls may result in immediate account termination, loss of access without refund, and legal liability.

5. Subscription, Billing, Refunds, and Certificates

5.1 Upgrading and Downgrading

Users may upgrade their subscription immediately by paying the applicable difference or other amount shown at checkout. Downgrades take effect at the start of the next billing period unless Engenious University states otherwise in writing.

5.2 Automatic Renewal and Payment Authorization

Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date. By purchasing a subscription, beginning a paid plan, or accepting a promotional or free trial that converts to a paid subscription, you authorize Engenious University and its third-party payment processors to charge your selected payment method on a recurring basis for all applicable subscription fees, taxes, and permitted charges until you cancel or your subscription is terminated.

You are responsible for maintaining accurate billing information and a valid payment method. You must cancel before the renewal date to avoid being charged for the next billing period.

5.3 Failed Payments and Renewal Failures

If a renewal payment fails, your account may be downgraded to the Free Plan, suspended, or terminated, and paid access may be restricted until a successful payment is completed. Engenious University may attempt to process payment again using the payment method on file to the extent permitted by the payment processor and applicable law.

5.4 14-Day Refund Policy

Users are eligible for a refund within 14 calendar days of the initial subscription transaction unless a different refund rule is expressly stated for a specific product or required by applicable law. Refund requests must be submitted to university@engenious.io and must include the user's full name, course name, enrollment date, transaction date, and reason for the request. Engenious University reserves the right to verify information before processing a refund.

Refund requests are reviewed within 10 business days where reasonably practicable. Engenious University is not responsible for fees, currency-conversion charges, bank charges, card-issuer charges, or other amounts charged by third-party payment processors or financial institutions, except where required by applicable law.

5.5 Payment History and Invoices

Users can view payment history and download invoices through their user profile or through the payment interface made available by Engenious University or its payment processor.

5.6 Promotional Periods and Free Trials

Subscriptions may include a promotional or free trial period during which a $0 initial charge or discounted charge is issued. Unless canceled before the end of the promotional or free trial period, the stored payment method will be charged upon conversion to a paid subscription. Promotional offers may have additional terms, eligibility limits, expiration dates, or feature restrictions.

5.7 Cancellation

Users may cancel at any time through the account, subscription, or payment-management interface made available by Engenious University, or as otherwise instructed by Engenious University. Upon cancellation, the user is downgraded to the Free Plan at the start of the next billing period unless Engenious University states otherwise. Cancellation does not automatically entitle a user to a prorated refund unless expressly stated or required by law.

5.8 On-Demand Services

On-demand services, such as mentorship sessions, CV reviews, recommendation letters, interview preparation, career support, and similar services, must be specifically requested through the communication channel designated by Engenious University, including Discord or email. Availability of on-demand services may depend on the user's plan, cohort, schedule, instructor availability, and applicable program rules.

5.9 Certificates

Certificates are issued after the student satisfies applicable course or program requirements and submits feedback on the course and instructors, unless Engenious University states otherwise. Students who cancel before generating a certificate may request one by contacting Engenious University. Processing of certificate requests may take up to one business week where reasonably practicable.

5.10 Changes to Subscription Terms, Fees, and Billing Cycles

Engenious University may modify subscription fees, billing cycles, subscription features, plan names, plan benefits, refund procedures, or subscription terms with prior notice where required by law or where reasonably practicable. Continued use of the subscription after the effective date of such changes constitutes acceptance of the updated subscription terms.

6. SMS Communications 

By opting in to SMS communications from Engenious University, you agree to receive recurring automated marketing and informational text messages from Engenious University at the mobile number you provide. Message frequency varies and may change. Message and data rates may apply. Consent to receive marketing messages is not a condition of purchase.

  • To stop receiving SMS messages, reply STOP at any time. After you reply STOP, Engenious University may send a confirmation message and will stop sending SMS messages to that number unless you opt in again.
  • For help, reply HELP or email university@engenious.io
  • Engenious University may change the short code, long code, or phone number used to send messages, and you agree that STOP or HELP requests may need to be submitted to the updated number if the messaging number changes.
  • Wireless carriers are not liable for delayed or undelivered messages.
  • You agree to notify Engenious University before transferring, disconnecting, or changing your mobile number.
  • SMS communications are subject to the Engenious University Privacy Policy and any applicable messaging terms posted on the Site.
  • Engenious University may update these SMS terms from time to time. Continued opt-in or use of the SMS program after updates constitutes acceptance of the updated SMS terms.

7. Hyperlinking and Third-Party Sites 

The Site may contain links to third-party websites, applications, platforms, payment processors, community tools, collaboration platforms, or other services that are not owned or controlled by Engenious University. ENGENIOUS UNIVERSITY HAS NO DISCRETION TO ALTER, UPDATE, OR CONTROL THE CONTENT ON ANY LINKED THIRD-PARTY SITE. The fact that Engenious University provides a link to a site is not an endorsement, authorization, sponsorship, or affiliation with respect to such site. Your access to and use of third-party sites or services is at your own risk and may be governed by separate third-party terms, privacy policies, confidentiality practices, billing rules, and data-processing practices. Engenious University is not responsible for the content, products, services, availability, security, privacy practices, or accuracy of any third-party site or service. Engenious University prohibits unauthorized hypertext links to the Site, framing of any Content on the Site, use of Engenious University marks in a manner that implies endorsement, and caching, mirroring, or embedding Site content without written authorization.

8. Community Postings and User-Generated Content 

Engenious University may provide message boards, Discord channels, comments, chat rooms, assignment areas, live-session tools, or other community features. You are solely responsible for the content you submit, post, upload, or transmit. Engenious University may monitor, remove, restrict, or refuse user content at any time, but has no obligation to do so.

You may not post, upload, transmit, or encourage content that:

  • Is unlawful, defamatory, abusive, harassing, threatening, obscene, fraudulent, deceptive, discriminatory, hateful, or otherwise objectionable;
  • Violates intellectual property, privacy, publicity, confidentiality, contractual, or other rights of any person or organization;
  • Contains advertising, solicitations, spam, chain letters, pyramid schemes, or unauthorized commercial messages;
  • Impersonates another person or falsely states or misrepresents an affiliation with any person or organization;
  • Publishes personal information about another person without authorization;
  • Includes unauthorized downloads, malware, scripts, scraping tools, or security-bypass instructions;
  • Duplicates the same or substantially similar message repeatedly or disrupts the learning environment;
  • Contains Course Content in violation of Section 3.

By posting user-generated content in Engenious University community spaces, you grant Engenious University a limited, non-exclusive, worldwide license to host, display, reproduce, and use that content as necessary to operate, moderate, secure, and improve the learning environment, subject to the Privacy Policy and applicable law.

9. Disclaimer of Warranties 

ALL CONTENT, COURSE CONTENT, PRODUCTS, SERVICES, COMMUNITY FEATURES, THIRD-PARTY LINKS, AND SITE FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, ACCURACY, AVAILABILITY, OR RELIABILITY.

Engenious University does not warrant that the Site, Course Content, community tools, third-party integrations, payment systems, or communications will be uninterrupted, error-free, secure, virus-free, current, complete, or free from defects. Engenious University does not warrant or endorse third-party opinions, advice, statements, products, services, or materials that may appear on or be linked from the Site. You are responsible for evaluating the accuracy, usefulness, and suitability of any content or service for your own circumstances.

10. Limitation of Liability 

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCE SHALL ENGENIOUS UNIVERSITY, ENGENIOUS, INC., OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, INSTRUCTORS, AFFILIATES, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, PUNITIVE, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR INCIDENTAL DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST OPPORTUNITY, LOSS OF DATA, BUSINESS INTERRUPTION, REPUTATIONAL HARM, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH USE OF THE SITE, COURSE CONTENT, SUBSCRIPTIONS, COMMUNITY FEATURES, THIRD-PARTY SITES, OR RELATED SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Engenious University shall not be liable for any damages, losses, or injuries caused by errors, omissions, inaccuracies, interruptions, defects, delays, viruses, malware, equipment failures, communication-line failures, internet failures, payment-processor failures, unauthorized access, theft, operator errors, third-party actions, strikes, labor issues, acts of God, force majeure events, or other causes beyond its reasonable control.

Nothing in this Section limits Engenious University's or Engenious, Inc.'s right to seek remedies for intellectual property infringement, breach of contract, unauthorized access, confidentiality violations, or liquidated damages as described in these Terms.  

11. Confidentiality of User Communications 

Except as required by law and in accordance with the Engenious University Privacy Policy, Engenious University will maintain the confidentiality of user communications containing personal information that are transmitted directly to Engenious University through non-public communication channels. Public postings on message boards, Discord channels, chat rooms, course comments, community spaces, or similar public or semi-public channels are not protected as confidential.  

12. Transmission of Personal Data 

User acknowledges and agrees that by providing Engenious University with any personal or proprietary user information through the Site, user consents to the transmission of such personal or proprietary user information over international borders as necessary for processing in accordance with Engenious University’ standard business practices. User should be aware that Linked Sites may contain transmission of personal data provisions that differ from the provisions provided herein. Engenious University is not responsible for such provisions, and expressly disclaims any and all liability related to such provisions.

13. Digital Millennium Copyright Act 

Engenious University reserves the right to remove Content that allegedly infringes another person's copyright. 14. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to conflict of laws principles. Any dispute arising under or relating to these Terms, the Site, Course Content, subscriptions, community features, or related services shall be resolved exclusively in the state or federal courts located in Florida, and you consent to personal jurisdiction and venue in such courts. 

15. Modification and Notice 

Engenious University may modify these Terms and Conditions at any time. Posting the modified Terms on this Site constitutes sufficient notice of such modification unless additional notice is required by applicable law. Continued use of the Site, Course Content, subscriptions, community features, or related services following any modification constitutes your acceptance of the revised Terms. 

16. Severability 

If any provision of these Terms is found to be unenforceable, invalid, or unlawful, that provision will be limited, modified, or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect.

17. Violations and Enforcement 

Engenious University reserves the right to seek all remedies available at law and in equity for violations of these Terms, including without limitation the right to block access from any IP address, suspend or terminate accounts, revoke access to Course Content, remove community content, investigate misuse, and pursue claims for intellectual property infringement, breach of contract, confidentiality violations, unauthorized access, and liquidated damages as described in Section 3.6.
